Terms of Service and Subscription Agreement

1. Parties and acceptance

These Terms form a binding agreement between MK Accounting Service Provider (Provider) and the company or business registered by the person accepting them (Customer). The accepting person confirms that he or she is at least 18 years old and has authority to bind the Customer. Effective date: 06 October 2026.

2. Service

The Provider grants the Customer a limited, non-exclusive, non-transferable right to use MK Accounting during an active trial or paid subscription. Available functions depend on the selected plan and activated add-ons. The service supports record keeping but does not replace professional accounting, tax, legal or audit advice.

3. Customer rights

• Use subscribed functions and access authorised company data.
• Receive reasonable support, security notices and material service-change notices.
• Export available records and reports using system functions.
• Retain ownership and responsibility for business data entered by the Customer.
• Terminate or decline renewal subject to unpaid obligations and lawful retention requirements.

4. Customer responsibilities

• Provide accurate registration and billing details.
• Protect credentials, assign appropriate roles and promptly disable former users.
• Enter lawful, accurate and complete accounting records and retain required source documents.
• Review postings, reports, taxes and statutory submissions using qualified professionals where appropriate.
• Pay subscription and add-on charges when due and avoid prohibited use.

5. Provider rights

The Provider may charge published fees, verify payments, change future pricing with notice, prevent access for non-payment or material breach, and take proportionate action to protect users, data and system integrity. Suspended or expired accounts may be placed in read-only mode rather than immediately deleted.

6. Provider responsibilities

The Provider will use reasonable technical and organisational safeguards, restrict administrative access, maintain audit and recovery controls appropriate to the service, and process Customer data only for service delivery, security, support and lawful obligations. No internet service can guarantee uninterrupted availability or absolute security.

7. Fees, renewal and termination

Subscription periods and approved payments appear in the platform. Unless a written arrangement states otherwise, service does not renew until payment is verified. On expiry, transaction entry may stop while record viewing remains available for a reasonable period. The Provider may terminate for unlawful use, security threats, fraud or persistent breach after notice where practicable.

8. Intellectual property and confidentiality

The Provider retains rights in the software, design and documentation. The Customer retains rights in its uploaded business data. Each party shall protect confidential information and disclose it only to authorised persons or where required by law.

9. Liability

Each party is responsible for loss caused by its fraud, wilful misconduct, unlawful processing or breach of confidentiality. To the extent permitted by law, indirect or consequential loss is excluded and ordinary contractual liability is limited to fees paid for the affected service period. Nothing excludes liability that law does not permit a party to exclude.

10. Governance, law and disputes

Security and governance controls may be informed by ISO/IEC 27001, ISO/IEC 27701, ISACA COBIT and applicable Tanzania e-Government guidance. These references do not represent certification unless expressly stated. The agreement is governed by United Republic of Tanzania. Parties shall first attempt good-faith resolution; unresolved disputes may be submitted to the competent courts or agreed dispute forum in Tanzania.
